1. Service Agreement

These Terms of Service govern your use of cloud services provided by N49° Cloud, a division of N49° Technologies Inc. Our services include DNS management, email hosting, firewall protection, and Zero Trust security solutions. By using our services, you agree to these terms and our Service Level Agreements.

2. Service Availability

We strive to maintain 99.9% uptime for our core services. Planned maintenance will be scheduled during off-peak hours with advance notice. Emergency maintenance may be performed without notice to address security vulnerabilities or service disruptions.

3. Acceptable Use

You agree to use our services lawfully and responsibly. Prohibited activities include:

• Sending spam or unsolicited communications
• Hosting malicious content or malware
• Attempting to breach security measures
• Violating applicable laws or regulations
• Interfering with service operation or other users

4. Data and Security

You retain ownership of your data. We implement industry-standard security measures but cannot guarantee absolute security. You are responsible for maintaining secure access credentials and promptly reporting any suspected security incidents.

5. Billing and Payment

Services are billed according to your selected plan. Payment is due within 30 days of invoice date. Failure to pay may result in service suspension or termination. Refunds are provided according to our refund policy as outlined in your service agreement.

6. Service Modifications

We may modify our services, features, or pricing with 30 days advance notice. Critical security updates may be implemented immediately. Continued use of services after modifications constitutes acceptance of the changes.

7. Limitation of Liability

Our liability is limited to the amount paid for services in the preceding 12 months. We are not liable for indirect, consequential, or punitive damages. Service credits for downtime are provided according to our Service Level Agreements.

8. Termination

Either party may terminate services with 30 days written notice. We may immediately terminate services for breach of terms, non-payment, or illegal activities. Upon termination, you have 30 days to retrieve your data before deletion.

9. Governing Law

These Terms are governed by the laws of Ontario, Canada. Disputes will be resolved through binding arbitration in Ontario, except for claims involving intellectual property or injunctive relief.
